Custom Print/Engraving Agreement

This agreement ("Agreement") is entered into between Krafkit Design ("We," "Us," "Our," or "The Company") and the customer ("You," "Your," or "The Customer") who submits designs for custom print or engraving services.

By submitting any design, image, text, or other material ("Design") to Krafkit Design for custom engraving or print, You acknowledge and agree to the following terms and conditions:

1.    Ownership and Authorization of Design:

○     You represent and warrant that You are the sole and exclusive owner of all intellectual property rights, including but not limited to copyrights and trademarks, in the Design You submit for engraving.

○     Alternatively, if You are not the sole owner, You represent and warrant that You have obtained all necessary licenses, permissions, and authorizations from the rightful owner(s) of the Design to use, reproduce, and allow Krafkit Design to engrave the Design on Your behalf.

○     You agree to provide proof of ownership or authorization upon Our request.

2.    Customer's Sole Responsibility:

○     You understand and agree that it is Your sole responsibility to ensure that the Design You submit does not infringe upon the intellectual property rights (including copyrights, trademarks, and patents) or any other rights of any third party.

○     Krafkit Design does not perform any intellectual property rights clearance, ownership verification, or authorization checks on Designs submitted by You. Our role is solely to engrave or print the Design as provided by You onto the requested product.

3.    Indemnification:

○     You agree to indemnify, defend, and hold harmless Krafkit Design, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

■     Any actual or alleged infringement of any intellectual property rights or other proprietary rights of any third party caused by the Design You submit.

■     Your breach of any representation or warranty made in this Agreement.

■     Any legal action, claim, or demand brought against Krafkit Design by a third party alleging unauthorized use or reproduction of their Design.

4.    Right to Refuse Service:

○     Krafkit Design reserves the right, at its sole discretion, to refuse any engraving or print order or Design submission for any reason, including but not limited to Designs that are deemed offensive, inappropriate, or potentially infringing upon third-party rights. Such refusal does not imply any responsibility or liability on Our part for the content of the Design.

5.    Governing Law:

○     This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

By proceeding with Your order and submitting Your Design, You acknowledge that You have read, understood, and agree to be bound by all the terms and conditions of this Custom Engraving Design Agreement.
